Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and Jade Memories ("Jade", "we", "us", "our") governing your access to and use of the Jade Memories mobile application, website, NFC features, and related services (together, the "Service"). By creating an account or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

1.1 "Account" means the account you create to access the Service. 1.2 "Content" means any photo, video, text, comment, or other material you upload, store, or display through the Service. 1.3 "Page" means a memorial page you create within the Service. 1.4 "Chain" means an NFC-enabled item that, when scanned, opens a Page. 1.5 "PIN" means a numeric code that restricts access to a Page.

2. Eligibility and Account

2.1 You must be at least 13 years old to use the Service. By using it, you represent that you meet this requirement. 2.2 You access the Service by signing in with Apple or Google. You are responsible for maintaining the confidentiality and security of your Account and for all activity that occurs under it. 2.3 You agree to provide accurate information and to notify us promptly of any unauthorized use of your Account.

3. Page Access, PINs, and Private Links

3.1 Pages may be protected by a PIN, and each Page is reachable through a private link. Any person who has a Page's PIN or private link can view that Page. 3.2 You are responsible for keeping your PINs and private links confidential. We have no control over, and accept no responsibility for, access that results from your disclosure of a PIN or link.

4. Your Content and License

4.1 Ownership. As between you and Jade, you retain all rights in and to your Content. We claim no ownership of it. 4.2 License to us. You grant Jade a limited, non-exclusive, worldwide, royalty-free license to host, store, back up, transmit, and display your Content solely as necessary to operate and provide the Service to you and to the people you authorize. We do not use your Content for any other purpose, and we do not sell it. 4.3 Your responsibilities and warranties. You represent and warrant that you own or have the necessary rights to your Content and that your Content does not violate these Terms or any applicable law or third-party right.

5. Acceptable Use

You agree not to use the Service to upload, store, or share Content that:

You further agree not to interfere with, overload, reverse-engineer, or attempt to gain unauthorized access to the Service or to any Page that is not yours.

6. Reporting and Moderation

6.1 The Service provides a means to report Content you believe violates these Terms. 6.2 We review reports and may, at our discretion, remove Content or suspend or terminate Accounts that violate these Terms, and may take action where required to comply with applicable law. We do not pre-screen all Content, and reporting does not guarantee a particular outcome or timeframe.

7. Subscriptions, Billing, and Refunds

7.1 Certain features require a paid subscription, billed through Apple, Google, or our payment provider according to the plan you select. 7.2 Auto-renewal. Paid subscriptions renew automatically for successive periods until you cancel. 7.3 Cancellation. You may cancel at any time through your App Store or Google Play account settings (or as otherwise indicated in the app). Cancellation takes effect at the end of the current billing period and does not retroactively refund that period. 7.4 Refunds are governed by the policy of the store through which you purchased (Apple or Google), or by us where required by applicable law. 7.5 Price changes. We may change prices or plans and will give you reasonable notice before a change takes effect.

8. Intellectual Property

The Service — including its software, design, trademarks, and content other than your Content — is owned by Jade or its licensors and is protected by applicable laws. These Terms grant you no right to use Jade's name, logo, or trademarks without our prior written consent.

9. Disclaimers; Service Availability

9.1 The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. 9.2 We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Content will never be lost. You are responsible for maintaining your own backup of any Content that is important to you.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Jade and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data or access — including loss arising from a forgotten PIN, accidental deletion, device loss or failure, or access by a third party with whom you shared a PIN or link. 10.2 To the maximum extent permitted by law, Jade's total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us in the twelve (12) months preceding the claim, or USD 50.

11. Indemnification

You agree to indemnify and hold harmless Jade from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your breach of these Terms or of any law or third-party right.

12. Term and Termination

12.1 You may stop using the Service and delete your Account at any time from within the app. 12.2 We may suspend or terminate your access if you materially or repeatedly breach these Terms, or where required by law. 12.3 On termination, the rights granted to you under these Terms cease; sections that by their nature should survive (including 4.1, 9, 10, 11, and 14) will survive.

13. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you in the app or by email and update the date above. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the competent courts located there for any dispute arising out of or relating to these Terms or the Service.

15. Miscellaneous

15.1 Severability. If any provision is held unenforceable, the remaining provisions remain in full force. 15.2 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Jade regarding the Service. 15.3 No waiver. Our failure to enforce a provision is not a waiver of it. 15.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

شروط الخدمة

تشكّل شروط الخدمة هذه («الشروط») اتفاقية مُلزِمة قانونًا بينك («أنت») وبين Jade Memories («جيد»، «نحن») تحكم وصولك إلى تطبيق Jade Memories وموقعه وميزات الـ NFC والخدمات المرتبطة (مجتمعةً «الخدمة») واستخدامك لها. بإنشائك حسابًا أو باستخدامك الخدمة، فإنك تُقرّ بأنك قرأت هذه الشروط وسياسة الخصوصية وفهمتها وتوافق على الالتزام بها. إذا لم توافق، فلا تستخدم الخدمة.

١. التعريفات

١-١ «الحساب»: الحساب الذي تنشئه للوصول إلى الخدمة. ١-٢ «المحتوى»: أي صورة أو مقطع أو نص أو تعليق أو مادة أخرى ترفعها أو تخزّنها أو تعرضها عبر الخدمة. ١-٣ «الصفحة»: صفحة ذكرى تنشئها داخل الخدمة. ١-٤ «السلسلة»: عنصر يدعم NFC يفتح صفحة عند مسحه. ١-٥ «الرمز السري (PIN)»: رمز رقمي يقيّد الوصول إلى صفحة.

٢. الأهلية والحساب

٢-١ يجب ألا يقل عمرك عن ١٣ سنة لاستخدام الخدمة، وباستخدامك لها تُقرّ باستيفائك هذا الشرط. ٢-٢ تصل إلى الخدمة عبر تسجيل الدخول بحساب Apple أو Google، وأنت مسؤول عن الحفاظ على سرية حسابك وأمانه وعن جميع الأنشطة التي تتم من خلاله. ٢-٣ تلتزم بتقديم معلومات صحيحة وبإبلاغنا فورًا بأي استخدام غير مصرّح به لحسابك.

٣. الوصول إلى الصفحات والرموز والروابط الخاصة

٣-١ قد تكون الصفحات محمية برمز سري، ولكل صفحة رابط خاص يفتحها. أي شخص يملك الرمز أو الرابط يستطيع الاطّلاع على الصفحة. ٣-٢ أنت مسؤول عن الحفاظ على سرية رموزك وروابطك. ولا نتحمّل أي مسؤولية عن وصول ينتج عن إفصاحك عن رمز أو رابط.

٤. المحتوى والترخيص

٤-١ الملكية. فيما بينك وبين جيد، تحتفظ بكامل حقوقك في محتواك، ولا ندّعي ملكيته. ٤-٢ الترخيص الممنوح لنا. تمنح جيد ترخيصًا محدودًا غير حصري عالميًا وبدون مقابل لاستضافة محتواك وتخزينه ونسخه احتياطيًا ونقله وعرضه فقط بالقدر اللازم لتشغيل الخدمة وتقديمها لك ولمن تأذن لهم. ولا نستخدم محتواك لأي غرض آخر، ولا نبيعه. ٤-٣ مسؤولياتك وإقراراتك. تُقرّ وتضمن أنك تملك الحقوق اللازمة في محتواك، وأنه لا يخالف هذه الشروط أو أي قانون أو حق للغير.

٥. الاستخدام المقبول

تلتزم بألا ترفع أو تخزّن أو تشارك عبر الخدمة محتوى:

كما تلتزم بعدم تعطيل الخدمة أو إثقالها أو إجراء هندسة عكسية لها أو محاولة الوصول غير المصرّح به إليها أو إلى أي صفحة ليست لك.

٦. الإبلاغ والإشراف على المحتوى

٦-١ توفّر الخدمة وسيلة للإبلاغ عن أي محتوى تعتقد أنه يخالف هذه الشروط. ٦-٢ نراجع البلاغات، ويجوز لنا وفق تقديرنا إزالة المحتوى أو إيقاف الحسابات أو إنهاؤها عند مخالفة هذه الشروط، واتخاذ ما يلزم للامتثال للقانون. ولا نراجع كل المحتوى مسبقًا، ولا يضمن الإبلاغ نتيجة أو مدة محددة.

٧. الاشتراكات والفوترة والاسترجاع

٧-١ تتطلّب بعض الميزات اشتراكًا مدفوعًا، تتم فوترته عبر Apple أو Google أو مزوّد الدفع لدينا وفق الباقة التي تختارها. ٧-٢ التجديد التلقائي. تتجدّد الاشتراكات المدفوعة تلقائيًا لفترات متتالية حتى تلغيها. ٧-٣ الإلغاء. يمكنك الإلغاء في أي وقت من إعدادات حسابك في App Store أو Google Play (أو كما هو موضّح في التطبيق). يسري الإلغاء في نهاية الفترة الحالية ولا يسترجع مبلغها بأثر رجعي. ٧-٤ الاسترجاع يخضع لسياسة المتجر الذي اشتريت منه (Apple أو Google)، أو من جهتنا حيثما يلزم القانون بذلك. ٧-٥ تغيير الأسعار. يجوز لنا تغيير الأسعار أو الباقات مع إشعارك بمدة معقولة قبل سريان التغيير.

٨. الملكية الفكرية

الخدمة — بما فيها برمجياتها وتصميمها وعلاماتها التجارية ومحتواها عدا محتواك — مملوكة لجيد أو لمرخّصيها ومحمية بالأنظمة المعمول بها. ولا تمنحك هذه الشروط أي حق في استخدام اسم جيد أو شعارها أو علاماتها دون موافقة خطية مسبقة منا.

٩. إخلاء الضمانات وتوفّر الخدمة

٩-١ تُقدَّم الخدمة «كما هي» و«حسب توفّرها» دون أي ضمانات من أي نوع، صريحة أو ضمنية، إلى أقصى حدّ يسمح به القانون. ٩-٢ لا نضمن أن تكون الخدمة دون انقطاع أو خالية من الأخطاء أو آمنة تمامًا، ولا أن المحتوى لن يُفقد أبدًا. أنت مسؤول عن الاحتفاظ بنسخة احتياطية من أي محتوى يهمّك.

١٠. حدود المسؤولية

١٠-١ إلى أقصى حدّ يسمح به القانون، لن تتحمّل جيد ومسؤولوها وموظفوها ومورّدوها المسؤولية عن أي أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو عقابية، ولا عن أي فقدان للبيانات أو الوصول — بما في ذلك ما ينتج عن نسيان رمز سري أو حذف غير مقصود أو فقدان جهاز أو تعطّله أو وصول طرف شاركته رمزًا أو رابطًا. ١٠-٢ إلى أقصى حدّ يسمح به القانون، لن تتجاوز مسؤولية جيد الإجمالية الناشئة عن الخدمة المبلغ الأكبر من: ما دفعته لنا خلال الاثني عشر (١٢) شهرًا السابقة للمطالبة، أو ٥٠ دولارًا أمريكيًا.

١١. التعويض

توافق على تعويض جيد وحمايتها من أي مطالبات أو أضرار أو التزامات أو نفقات (بما فيها أتعاب قانونية معقولة) تنشأ عن محتواك أو استخدامك للخدمة أو مخالفتك لهذه الشروط أو لأي قانون أو حق للغير.

١٢. المدة والإنهاء

١٢-١ يمكنك التوقف عن استخدام الخدمة وحذف حسابك في أي وقت من داخل التطبيق. ١٢-٢ يجوز لنا إيقاف وصولك أو إنهاؤه عند مخالفتك الجوهرية أو المتكرّرة لهذه الشروط، أو حيثما يلزم القانون. ١٢-٣ عند الإنهاء تنتهي الحقوق الممنوحة لك، وتبقى سارية البنود التي يقتضي طبعها البقاء (بما فيها ٤-١ و٩ و١٠ و١١ و١٤).

١٣. تغييرات على الشروط

قد نحدّث هذه الشروط من حين لآخر. وعند أي تغيير جوهري سنُعلمك داخل التطبيق أو عبر البريد ونحدّث التاريخ أعلاه. واستمرارك في استخدام الخدمة بعد سريان التغيير يُعدّ قبولًا للشروط المحدّثة.

١٤. القانون الحاكم والنزاعات

تخضع هذه الشروط لقوانين المملكة العربية السعودية دون اعتبار لقواعد تنازع القوانين. وتوافق على الاختصاص الحصري للمحاكم المختصة فيها بشأن أي نزاع ينشأ عن هذه الشروط أو الخدمة.

١٥. أحكام عامة

١٥-١ قابلية الفصل. إذا تعذّر إنفاذ أي بند، تبقى بقية البنود سارية بالكامل. ١٥-٢ الاتفاق الكامل. تمثّل هذه الشروط وسياسة الخصوصية الاتفاق الكامل بينك وبين جيد بشأن الخدمة. ١٥-٣ عدم التنازل. عدم إنفاذنا لأي بند لا يُعدّ تنازلًا عنه. ١٥-٤ التنازل عن الاتفاقية. لا يجوز لك التنازل عن هذه الشروط دون موافقتنا، ويجوز لنا التنازل عنها في سياق اندماج أو استحواذ أو بيع أصول.
